Agreement to Terms

These Terms of Service ("Terms") constitute a binding agreement between you and SACK Trading IT Agency ("Company," "we," "us," or "our") regarding your access to and use of our website and services. By accessing our website or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. By using our services, you represent and warrant that:

Description of Services

SACK Trading IT Agency provides digital transformation and technology consulting services, including but not limited to:

• Web development and design
• Digital marketing and SEO optimization
• AI integration and machine learning solutions
• Business automation and process optimization
• Technical consulting and strategy

Service scope, deliverables, and timelines are defined in individual service agreements, proposals, and project contracts. We reserve the right to modify or discontinue services with 30 days' written notice.

User Accounts

If you create an account, you are responsible for:

• Maintaining the confidentiality of your login credentials
• Securing your account and password
• Notifying us immediately of unauthorized access
• All activities occurring under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

Acceptable Use Policy

You agree not to use our services for:

• Illegal activities or violation of applicable laws
• Harassment, abuse, or threatening behavior
• Transmission of viruses, malware, or harmful code
• Unauthorized access or system hacking

Intellectual Property Rights

Company Content

All content on our website, including text, graphics, logos, images, software, and designs, is the property of SACK Trading IT Agency or licensed from third parties. You may not reproduce, distribute, or transmit any content without our prior written consent.

User Content

When you submit content to us, you grant us a non-exclusive, royalty-free, worldwide license to use, modify, and display such content for service delivery and business purposes. You represent that you own or have the right to license all content you provide.

Work Product

Deliverables created specifically for you under a service agreement remain your property, subject to payment of all fees. Preliminary materials, templates, and methodologies developed by us remain our intellectual property.

Payment Terms

Payment terms are specified in individual service agreements or invoices:

• Payment is due upon receipt unless otherwise agreed in writing
• We accept major credit cards, bank transfers, and other agreed payment methods
• Unpaid invoices accrue interest at 1.5% per month or the maximum allowed by law
• We reserve the right to suspend services for overdue payments
• Refunds are subject to our refund policy outlined in service agreements

All fees are exclusive of applicable taxes unless otherwise stated.

Limitations of Liability

Our total liability for any claim arising from or relating to these Terms or our services shall not exceed the total amount paid by you for the services in question or $100, whichever is greater.

Warranty Disclaimers

Our services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind. We disclaim all warranties, express or implied, including:

We do not warrant that our services will meet all your requirements or achieve specific results. Use of our services is at your own risk.

Indemnification

You agree to indemnify, defend, and hold harmless SACK Trading IT Agency and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your use of our services in violation of law
• Your infringement of third-party intellectual property rights
• Your violation of third-party rights
• Content you provide or authorize

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of our business relationship. Confidential information excludes publicly available information, information independently developed, or information rightfully received from third parties.

Confidentiality obligations persist for five (5) years after termination of our relationship, except where information becomes publicly available through no fault of the receiving party.

Term and Termination

Service Agreements

Service agreements remain in effect for the duration specified in the individual contract. Either party may terminate for cause (material breach by the other party with 15 days' written notice to cure) or for convenience with 30 days' written notice.

Website Access

We may terminate or suspend your access to our website and services immediately and without notice if you violate these Terms or engage in prohibited activities.

Effects of Termination

Upon termination, your rights to use our services cease. Sections regarding intellectual property, limitations of liability, indemnification, and confidentiality survive termination.

Modifications to Terms

We reserve the right to modify these Terms at any time. Changes become effective upon posting to our website. Your continued use of our services constitutes acceptance of modified Terms. We encourage you to review these Terms periodically.

You agree to submit to the exclusive jurisdiction of the courts located in Dhaka, Bangladesh, for resolution of any disputes.

Before initiating legal proceedings, the parties agree to attempt resolution through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by a mutually agreed arbitrator or arbitration body, unless local law prohibits arbitration.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with any additional agreements, privacy policy, and cookie policy, constitute the entire agreement between you and SACK Trading IT Agency regarding your use of our services and supersede all prior understandings and agreements.
